Holland LP is closely monitoring the developing situation concerning the Coronavirus COVID-19. Guided by our core values of family, respect, partnership and integrity, the health of our team members across all our locations and job sites, along with that of our customers and industry partners is our top priority at this time.

Along with our owners, Curran Group, we have spent the last several weeks preparing for how the virus may impact our employees, customers, partners, and communities in which we do business. Our fixed locations and job sites are adhering to the latest updated guidelines provided by the United States White House Coronavirus Task Force, the U.S. Centers for Disease Control (CDC), and the Public Health Agency of Canada.

The federal governments of the United States and Canada have deemed railroads to be an essential service, and an integral part of our nations’ business. As a railroad contractor and supplier, Holland is prepared to meet our customer needs and requirements during this time.

To help prevent the spread of the virus, we’re asking anyone who feels sick to stay home and have issued guidance to employees on reporting to work. We’ve also provided resources to answer our team members’ frequently asked questions and on how to protect themselves both at work and home.

Updates on our actions and guidance will be provided as the situation evolves.

Keeping the Workplace Safe

Employees can access all internal resources by visiting Holnet.

Practice Good Hygiene

Clean your hands often

  • Wash your hands often with soap and water for at least 20 seconds especially after you have been in a public place, or after blowing your nose, coughing, or sneezing.

  • If soap and water are not readily available, use a hand sanitizer that contains at least 60% alcohol. Cover all surfaces of your hands and rub them together until they feel dry.

  • Avoid touching your eyes, nose, and mouth with unwashed hands.

Additionally:
  • Stop handshaking use other noncontact methods of greeting
  • Clean hands at the door and schedule regular hand washing reminders by email
  • Create habits and reminders to avoid touching their faces and cover coughs and sneezes
  • Disinfect surfaces like doorknobs, tables, desks, and handrails regularly
  • Increase ventilation by opening windows or adjusting air conditioning
  • Use videoconferencing for meetings when possible
  • When not possible, hold meetings in open, well-ventilated spaces and practice social distancing

Enhanced Cleaning Procedures

Holland's fixed locations have implemented enhance daily cleaning procedures and disinfection of common areas. Additional hand sanitizer stations have been installed as well.

Reporting to Work

If you have concerns about reporting to work, contact your manager and/or Human Resources. As you think about going to work, remember:
  • If you have had a fever within the past 24 hours, you should not report to the worksite
  • If you are feeling sick or a family member is sick, consult your doctor before leaving the house

Social Distancing

According to the Public Health Agency of Canada (PHAC) and the U.S. Centers for Disease
Control (CDC) it is recommended to establish approximately 6 feet or two meters between
individuals when actively practicing social distancing.

Office Work

Office environments should enact measures to allow for physical separation (such as walls or
cubicle dividers) between workers or allow for spacing of a minimum of three feet
(approximately 1 meter) and ideally 6 feet (approximately 2 meters) between individuals when
actively practicing social distancing.

Working From Home
Some facilities may find that non-operational office functions can be effectively completed
while “telecommuting” – working from home. Some facilities may choose to extend telecommuting to a rotational schedule to reduce the
number of employees in the office at any given time during the pandemic.

Production Facility and Field Work Environments
• Employees conducting activities in production and field work environments should
strive to establish spacing of a minimum of three feet (approximately 1 meter) and
ideally 6 feet (approximately 2 meters) between individuals when actively practicing
social distancing.
• Essential meetings such as pre-shift safety job briefings and operational meetings should
continue to occur, with increased employee spacing incorporated.
• PPE such as safety glasses, gloves, respiratory protection, and hearing protection should
not be shared between employees.

Visitors

Our facilities are currenyly restricting any non-essential visitors.  Any potentially essential visitors shall complete a Visitor Health Screening Questionnaire at least 24 hours prior to their arrival.

Travel

If you have any business or personal travel planned, please consult and follow the CDC’s Coronavirus Disease 2019 - Information for Travel or the Public Health Agency of Canada’s Travel Advice.

Employees are encouraged to suspend all nonessential travel.  Currently all work-related travel requires management evaluation and approval, which shall include:

  • An evaluation of the necessity of the travel
  • Considering any employee concerns
  • An evaluation of technology options to conduct the business remotely
  • CDC travel recommendations
  • Customer requirements and limitations

As a general rule consider the following:
  • Use videoconferencing for meetings when possible
  • When not possible, hold meetings in open, well-ventilated spaces and practice social distancing
  • Consider adjusting or postponing large meetings or gatherings in both business and social settings
  • Assess the risks of business travel

Cleaning Apple iPhones

Apple updated their cleaning guidelines for iPhones,

Using a 70 percent isopropyl alcohol wipe or Clorox Disinfecting Wipes, you may gently wipe the exterior surfaces of your iPhone. Don't use bleach. Avoid getting moisture in any openings, and don't submerge your iPhone in any cleaning agents.

Cleaning Laptops

Turn off the laptop and disconnect power cable and battery

(Some laptops and Microsoft Surfaces have internal batteries. If yours does you will need to take extra care when cleaning.)

  • Open the laptop or if you have a Surface remove keyboard. 
  • Turn the laptop or keyboard upside down and gently tap it to get rid of any loose crumbs.
  • Spray some canned air on the keyboard. If you have no canned air turn laptop over and gently This will loosen some of the gunk that's stuck in between the keys.
  • Put the laptop or Surface keyboard on a flat surface and vacuum the keyboard with a small brush attachment.
  • Dampen some cotton swabs with rubbing alcohol, and wipe them over and in between the keys (if possible). Make sure the swabs are just damp, and not wet.
  • Apply some CyberClean to the keyboard, following the instructions on the package . You can purchase Cyberclean at many local office supply store.
  • If you don’t have CyberClean, you can use Lysol Wipes, as does NASA's Information Technology & Communication Division. To clean or disinfect your laptop, first use the Lysol Wipe to wipe the area, then use a damp microfiber cloth over the area and then dry with a dry microfiber cloth.  Do not use on screen
  • Here's how to clean your LCD screen:

Spray your screen with canned air to remove any surface dust.

  • Make a solution of equal parts white vinegar and distilled water.
  • Spray the vinegar solution on a soft rag, and gently wipe the screen  

You can keep your screen clean by periodically wiping it with a microfiber cloth designed specifically for computers. These cloths are available at computer and office supply stores. Always check your laptop's manual or Help Desk before using any cleaning products on your LCD screen.  

Don't forget to clean your external mouse, if you have one. This is the easiest part of your laptop to clean. Simply spray your rag with some of your vinegar solution and wipe off your mouse. Don't forget to turn your mouse over, and wipe down the bottom, as well

HOLLAND, L.P. PARTS WARRANTY (“WARRANTY”)

Subject to the limitations below, HOLLAND, L.P. (“Holland”) warrants that all supplied products and parts shall conform to the specifications and/or drawings supplied to the Customer at the time of order. Holland further warrants that, for a period of twelve (12) months after the initial date of shipment to the Customer, all supplied products and parts shall be free from defects in material, workmanship and design.

Upon the discovery of the failure or the defect, the Customer shall immediately take the product or part out of service and notify HOLLAND of this issue. If Holland determines that the product or parts contains a manufacturing defect, Holland shall, in its sole discretion, either repair or replace the item. In no event shall Holland’s liability exceed the purchase price of the products and parts.

This Warranty does not apply to conditions caused by normal wear and tear and/or improper use and maintenance of the products and parts. Under no circumstances, shall HOLLAND be responsible or liable for damage to any other the Customer’s other property or equipment resulting from the defect or failure of the products and parts.

This Warranty shall be null and void under the any of the following circumstances: (1) the Customer fails to notify Holland of the defect or failure within thirty (30) days of the Customer’s discovery of the issue; or (2) the Customer has not entirely paid Holland for all supplied products and parts within sixty (60) days of invoice receipt.

THIS WARRANTY IS GIVEN IN LIEU OF ALL OTHER EXPRESS OR IMPLIED WARRANTIES ON THE PART OF HOLLAND. HOLLAND EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE CUSTOMER’S SOLE REMEDY FOR LIABILITY OF ANY KIND WITH RESPECT THE PRODUCTS AND PARTS SUPPLIED BY HOLLAND SERVICES SHALL BE LIMITED TO THE REMEDY SET FORTH ABOVE. HOLLAND WILL NOT BE LIABLE FOR SPECIAL CONSEQUENTIAL OR PUNITIVE DAMAGES. NO AGENT OR EMPLOYEE OF HOLLAND IS AUTHORIZED TO EXTEND OR ENLARGE THIS WARRANTY.

Zero injuries.That's our goal as an organization.

With our core value of Family in mind, this quest to achieve zero injuries will always be our top objective as a company. To this end, our professional Safety team works in partnership with our leaders and employees to coach, educate and, where necessary, challenge unsafe behaviors.

We believe that injuries most often result from lack of knowledge or experience, losing concentration due to fatigue or simply working at an unsafe pace which can often prompt taking short cuts. Our leaders are trained to educate their teams to counteract these root causes.

Our Safety team is continually looking for ways to strengthen Safety awareness, knowledge on proper work procedures and employee well being with our ultimate goal of zero injuries in mind. Employees are regularly encouraged to help us investigate the root causes for unsafe circumstances. GENERAL CONTRACT PROVISIONS

 

SECTION 1 – PRODUCTION REPORTS

Daily production reports will be maintained by Holland and shall be verified by the signature of an authorized employee of the Customer. Such signature constitutes acceptance of the Work outlined in the production report. Copies of these daily reports will become the basis of billing for the Work performed.

SECTION 2 – BILLING

Invoices will be rendered minimally on a bi-weekly basis for all Work performed, or at such other interval as mutually agreed upon by Holland and the Customer. Invoices will become due and payable within thirty (30) days from the invoice date.

SECTION 3 – CHANGES TO SCOPE OF WORK

In the event it is determined that a change in the scope of work is required and such change shall increase the operating costs incurred by Holland, Holland reserves the right to increase the prices agreed to in the pricing schedule. No change to the scope of work or the pricing will occur until the terms and compensation for such change is mutually agreed upon between the parties in writing.


SECTION 4 – TAXES

Holland shall pay all taxes and contributions levied on the payroll of its employees engaged in the performance of the Work, and all excise, property and other taxes levied upon or applicable to materials, supplies, equipment or the Work performed by Holland. Any and all sales, use or other taxes applicable to the materials, supplies or the Work performed by Holland will be indicated on the invoice, and Customer shall be responsible for payment.

SECTION 5 INDEPENDENT CONTRACTOR

Holland shall have complete and exclusive control of, and responsibility for, all equipment and employees utilized or employed by it during the performance of the Work. Holland shall perform all Work as an independent contractor, and this Agreement shall in no way be construed as creating any master/servant relationship, employer/employee relationship, or any relationship between Holland and Customer other than one of principal and independent contractor.

SECTION 6 INDEMNIFICATION

Holland shall indemnify and holds harmless Customer, its affiliates, their officers, agents and employees (“Indemnitees”), against and from any and all liability, loss, damage, claims, demands, costs and expenses relative to any injury or death of any person or damage to property in the performance of this Agreement, but only to the proportionate extent that they result from the negligent acts or omissions of Holland. The obligation of Holland to indemnify Customer is expressly contingent upon the Customer giving Holland written notice within seven (7) days of its receipt of any claim, complaint, potential cause of action, or proceeding for which it requests indemnification under this Section 6. Failure by Customer to timely notify Holland shall relieve Holland of its obligation to indemnify Customer to the extent any such delay materially prejudices the substantive rights and defenses available to Holland, or otherwise increases the damages, settlement costs, or costs of defense. If any claim or liability shall arise from the joint or concurring negligence of both parties, it shall be borne by them in proportion to their negligence.

SECTION 7 INSURANCE

Holland shall provide and maintain insurance of the types and in the amounts noted below:

Upon written request by Customer, Holland will provide a certificate of insurance evidencing such insurance as outlined above prior to beginning work under the contract agreement. Such certificates shall provide for thirty (30) day’s advance written notice to Customer of cancellation, material change, reduction of coverage or non-renewal.


SECTION 8
EQUAL OPPORTUNITY AND AFFIRMATIVE ACTION

Holland represents that it maintains corporate policies that provide for equal opportunity in employment without regard to race, color, religion, gender, age, or national origin.

SECTION 9 SAFETY

Holland shall take all reasonable safety precautions pertaining to its Work under this Agreement. Holland represents, warrants and agrees that it shall, to the best of its ability, comply with all applicable federal, state and local laws, rules, ordinances and regulations, and all applicable licenses, permits, administrative orders and court orders relating to the performance of the Work under this Agreement.

SECTION 10 FORCE MAJEURE

With the exception of Customer’s obligation to pay for the Work performed by Holland pursuant to this Agreement, neither party shall be in default under this Agreement to the extent that the performance of its obligations is delayed, hindered or prevented by a cause beyond the reasonable control of such party and without such party’s fault or negligence, including, but not limited to, acts of God, declared or undeclared wars, blockades, hostilities, legal or illegal acts of government, epidemics, quarantines, riots, rebellions and labor strikes (“Force Majeure”). In the event the affected party is delayed in or prevented from performing its obligations under this Agreement by a Force Majeure event, only within the scope of such delay or prevention, the affected party will not be responsible for any damage by reason of such a failure or delay of performance. The affected party shall take appropriate means to minimize or remove the effects of a Force Majeure event and attempt to resume performance of the obligations delayed or prevented by the Force Majeure event. After the Force Majeure event has ended, both parties agree to resume performance of this Agreement with their best efforts.

SECTION 11 – GOVERNING LAW

The terms of this Agreement shall be governed by and construed according to the laws of the State of Illinois without regard to its choice of law provisions.

SECTION 12 – ARBITRATION

Any controversies shall be settled by binding arbitration administered by the American Arbitration Association under its commercial arbitration rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The exclusive venue for the administration of said arbitration shall be in Chicago, Illinois. The parties agree to one arbitrator to resolve any arbitration proceeding.

SECTION 13 – SEVERABILITY AND WAIVER

The partial or complete invalidity of any one or more provisions of this Agreement shall not affect the validity or continuing force and effect of any other provision. The failure of either party to insist, in any one or more instances, upon the performance of any of the terms, covenants or conditions of this Agreement, or to exercise any right granted by this Agreement, shall not be construed as a waiver or relinquishment of such term, covenant, condition or right as respects further performance.

SECTION 14 – CAPTIONS

The captions at the beginning of each section are for convenience only and are to be given no weight in construing the provisions of this Agreement.

SECTION 15 – NOTICES

All notices shall be in writing addressed to the parties at the addresses set out in this Agreement unless subsequently changed in conformance with this notice provision. Notices shall be considered as delivered on the third (3rd) business day after the date of mailing if sent by certified mail or when received if delivered by overnight delivery, electronic mail (with read receipt), or personal delivery.

SECTION 16 – CONFIDENTIALITY

Both parties agree to keep confidential and not disclose any of the other party’s Confidential Information. For purposes of this Agreement, “Confidential Information” means any information, knowledge or data of an intellectual, technical, scientific, commercial or industrial nature, or of a financial, cost, pricing, or marketing nature relating to the business operations; personal information regarding any employee or other individual, which would be protected under any federal, state, or local privacy laws; or any information supplied by the either party that is clearly marked “Confidential.” Both parties agree not to share such Confidential Information with any person except their consultants, sub-contractors and agents who have a need to know such information consistent with the performance of this Agreement. This Section 16 shall survive termination of the Agreement.

SECTION 17 – MUTUAL WAIVER OF SPECIAL DAMAGES

To the fullest extent permitted by law, both Holland and Customer agree to waive their right to seek consequential, incidental, indirect, special, exemplary, or punitive damages against the other arising from or relating to this Agreement and the Work performed by Holland.

SECTION 18 – EXECUTION

This Agreement may be executed in any number of counterparts, any one of which shall be an original, but all of which together shall be one and the same instrument. Facsimile and electronic signatures (including emailed PDFs) shall constitute original signatures.

Each party to these Terms and Conditions submits to the exclusive jurisdiction of the state and federal courts sitting in the County of Will in the State of Illinois, and waives any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce these Terms and Conditions, the prevailing party will be entitled to costs and attorney’s fees. In the event that any of the Terms and Conditions are held by a court or other tribunal of competent jurisdiction to be unenforceable, those provisions shall be limited or eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect.

Entire Agreement

These Terms and Conditions constitute the entire agreement between Holland and you pertaining to the subject matter of this Agreement. In its sole discretion, Holland may modify these Terms and Conditions by posting the revised version on this Site and you agree that each visit by you to this Site is a new transaction governed by the terms of use linked on this Site at that time.

No Unlawful or Prohibited Purpose

As a condition of your use of this Site, you warrant to Holland that you will not use the Site for any purpose that is unlawful or prohibited by these Terms and Conditions.
